Cartalyst Terms of Service ("Agreement")

Please read these Terms of Service ("Agreement", "Terms of Service") carefully before using http://cartalyst.com ("the Site") operated by Cartalyst LLC, ("us", "we", or "our"). This Agreement sets forth the legally binding terms and conditions for your use of the Site at http://cartalyst.com.

By accessing or using the Site in any manner, including, but not limited to, visiting or browsing the Site or contributing content or other materials to the Site, you agree to be bound by these Terms of Service. Capitalized terms are defined in this Agreement.

Intellectual Property

The Site and its original content, features and functionality are owned by Cartalyst LLC, and are protected by international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.

Subscriptions

Cartalyst Arsenal is a subscription based service. Access to our repositories are granted per github user account. Additional "users" can be purchased through your accounts team section.

Payment

Every quarter we'll bill your credit card the fee stated at the time of purchase plus applicable taxes. As soon as you've successfully completed this sign-up process and your payment is confirmed, your membership will begin.

Renewal

After that, we'll renew your quarterly subscription automatically, unless you cancel. The price is subject to change, but we will always notify you beforehand.

Cancellation

To cancel, login to your account, click on subscription, and click cancel. This will stop the renewal and remove your access at the end of your subscriptions term.

Refunds

You can request a full refund by contacting support within the first 7 days of purchase.

Software License

Upon subscribing all software distributed by Cartalyst LLC falls under the Cartalyst PSL (Per Seat License)

This license is a legal agreement between you and Cartalyst LLC for the use of any package (all versions) Software (the "Software"). By downloading any version of the Software you agree to be bound by the terms and conditions of this license. Cartalyst LLC reserves the right to alter this agreement at any time,for any reason, without notice.

The Cartalyst PSL License allows the holder’s products to be sold or distributed to end users only, and not to developers or vendors, who intend to use the Software for actual development. In the case a License holder sells or otherwise distributes the Software to developers and not to end users, the License Holder must advise the developers that the developers must purchase their own license in order to use the Software.

Holders of the Cartalyst PSL License may:

1. You may Use the Software personally or allow use of the Software to their clients and users on unlimited websites engaging in commercial, for-profit or non-for-profit activities.
2. You may alter, modify, or extend the Software for your own use or for use in an integral part of your product or service.

Unless you have been granted prior, written consent from Cartalyst LLC, you may not:

1. You may not reproduce, distribute, sub license, share, lease or transfer the Software as a sole product, or portions thereof, to any third party.
2. You may not use the software in violation of any United States or international laws or regulations.
3. You may not grant rights to any other person.
4. You may not allow integration of the Software with open source products with exception to add-ons, extensions and plugins sold separately from the open source software.

You agree to indemnify and hold harmless Cartalyst LLC for any third-party claims, actions or suits, as well as any related expenses, liabilities, damages, settlements or fees arising from your use or misuse of the Software, or violation of any terms of this license.

THIS SOFTWARE IS PROVIDED BY THE COPYRIGHT HOLDERS AND CONTRIBUTORS "AS IS" AND ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE DISCLAIMED. IN NO EVENT SHALL THE COPYRIGHT HOLDER OR CONTRIBUTORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

Termination

We may terminate your access to the Site and Services, without cause or notice, which may result in the forfeiture and destruction of all information associated with you. All provisions of this Agreement that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Links To Other Sites

Our Site may contain links to third-party sites that are not owned or controlled by Cartalyst LLC.

Cartalyst LLC, has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party sites or services. We strongly advise you to read the terms and conditions and privacy policy of any third-party site that you visit.

Limited License

Cartalyst LLC, grants you a non-exclusive, non-transferable, limited license to use the Site in accordance with this Agreement.

Limitation Of Liability

In no event shall Cartalyst LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for damages, direct or consequential, resulting from your use of the Site, and you agree to defend, indemnify and hold us harmless from any claims, losses, liability costs and expenses, including but not limited to attorney's fees, arrising from your violation of any third-party's rights.

Warranty Disclaimer

Your use of the Site is at your sole risk. The Site is provided on an "as is" and "as available" basis. The Site is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Cartalyst LLC,, its subsidiaries, affiliates, and its licensors do not warrant that a) the Site will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Site is free of viruses or other harmful components; or d) the results of using the Site will meet your requirements.

Governing Law

This Agreement (and any further rules, polices, or guidelines incorporated by reference) shall be governed and construed in accordance with the laws of Washington, United States, without giving effect to any principles of conflicts of law.

Changes To This Agreement

We reserve the right, at our sole discretion, to modify or replace these Terms of Service by posting the updated terms on the Site. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms of Service.

Please review this Agreement periodically for changes. If you do not agree to any of this Agreement or any changes to this Agreement, do not use, access or continue to access the Site or discontinue any use of the Site immediately.
